IRoise FR is registered with ORIAS under number 23001338 as a French Tied Agent (Agent Lié de Prestataire de Services d’Investissement – “ALPSI”) of Alantra Capital Markets, SV, S.A., a Spanish investment firm, dully incorporated in Spain, whose registered office is located at José Ortega y Gasset, 29 (28006 Madrid), with tax identification number A-87515540 and registered at the Companies Registry of Madrid and registered at the Comision Nacional del Mercado de Valores (“CNMV”) under the number 258 which has duly implemented its passport in France according to directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments (“MiFID”).

IRoise Partners, UK limited (“IRoise UK”) is a Private limited company (registered number 14553033) whose registered office is at 107 Holywell Hill, St. Albans, Al1 1HQ – UK. IRoise UK is a fully owned subsidiary of IRoise FR.

Regulatory information:

IRoise FR is an advisory firm that assist AIFM approved Asset Managers  of private equity, private debt and infrastructure funds (the "Funds") in (i) strategic reviews of their activities, (ii) structuration of fundraisings and (iii) marketing of the Funds to potential professional or qualified investors. In that context, IRoise may market one or more Funds to professional or qualified investors based in countries where IRoise has the appropriate regulatory status or registration.

IRoise FR is applying to be regulated and approved by the Autorité de Contrôle Prudentiel et de Résolution (“ACPR”) as a French investment firm (Entreprise d’Investissement) in order to be authorised to provide the following investment services in France and, subject to prior passporting notifications, in certain foreign jurisdictions part of the European Economic Area (“EEA”): (i) investment advice, (ii) placing of financial instruments without a firm commitment basis and, if any, (iii) reception and transmission of orders.

Some of IRoise FR employees are registered in Switzerland with the Berne Registry of Financial Advisors as a Cross- Border Financial Service Advisor as defined in Article 3 (d) of the Swiss Financial Services Act (“FinSA”).

1. Powers

The Company has appointed Iroise Partners as its tied agent pursuant to Article 29 of Directive 2014/65/UE (MiFID II), granting it powers to provide, for and on its behalf, investor prospection services and non-independent investment advisory services.

2. Limits

In the exercise of its Tied Agent activity, the Tied Agent:
 

  • Is authorised by the Company to provide investment advisory services in relation to financial instruments, in particular units or shares in undertakings for collective investments;
  • May not act for and on behalf of any investment firm other than the Company;
  • Shall engage with investors categorised as eligible counterparties or professional clients as defined in MiFID II;
  • May not receive any orders in relation to any financial instruments recommended to investors;
  • May not totally or partially outsource, delegate or otherwise transmit to any other person any powers assigned to it by the Company;
  • May not hold, receive or deliver any monies or financial instruments to or from investors;
  • May not receive any kind of financial or non-financial remuneration from investors;
  • May not act or take investment decisions for and on behalf of investors.


3. Liability

The Company is responsible for monitoring the Tied Agent’s activity and may be liable for acts or omissions in the performance of the activity entrusted to the Tied Agent. This is without prejudice to the Company global’s right of recourse against it in cases of breach by Tied Agent of any applicable legal, regulatory or contractual provisions.
